ESCHE advises Gruppe Georg Kofler in Sale of Leifeld Metal Spinning AG to Nihon Spindle
Gruppe Georg Kofler sold all shares in Leifeld Metal Spinning AG, the world market leader in spinning and flow-forming machines, to Nihon Spindle Manufacturing Co. Ltd., a subsidiary of Sumitomo Heavy Industries.
A team led by M&A partner Dr. Stephan Bauer advised Gruppe Georg Kofler in the transaction. The ESCHE team comprised partners Dr. Robert Kroschewski (Tax), Dr. Philipp Engelhoven (regulatory) and Dr. Patrizia Chwalisz (HR) and associates Benjamin Kastner, Sebastian Schröder and Lara Bos (all Corporate/M&A).
ESCHE cooperated in the transaction with Lexpert Dr. Bauer & Partner (Dr. Axel Bauer) as additional legal advisor and PricewaterhouseCoopers as M&A advisor.
Leifeld Metal Spinning AG is the world market leader in spinning and flow-forming machines for chipless metal forming in the automotive, aerospace and energy sectors and for industrial applications. Leifeld is headquartered in Ahlen and has subsidiaries and sales offices in Livonia (USA), Shanghai (China) and Moscow (Russia). In the last three years, Leifeld and its subsidiaries generated average annual revenues of more than EUR 35 Million and currently have approx. 175 employees.
Nihon Spindle Manufacturing Co. Ltd., headquartered in Amagasaki (Japan), is a wholly owned subsidiary of Sumitomo Heavy Industries, Ltd. and is active in the fields of production of spinning and flow-forming machines and other industrial machinery, cooling towers, dust collectors and precision air controllers and filters.
The acquisition of Leifeld Metal Spinning was signed in October 2019 and completed on 29 May 2020.
