ESCHE advised Hempel A/S on the sale of J.W. Ostendorf
Hempel A/S, a Danish based market leader in the production of paints and coatings, sold its participation in J.W. Ostendorf and Renaulac to the Munich-based financial investor Fidelium Partners. ESCHE advised Hempel in this transaction.
J.W. Ostendorf is a private label manufacturer of decorative paints, targeting the European DIY market. Renaulac operates a network of stores for decorative paints in France. Both companies jointly employ approx. 500 employees across Europe. Hempel had acquired J.W. Ostendorf and Renaulac in 2018. As part of a strategy to focus on full-service brands in the decorative paints sector, Hempel now made the decision to sell J.W. Ostendorf and Renaulac to a fund advised by Fidelium Partners, a Munich-based investment firm focusing on complex corporate carve-outs.
Following approval by the relevant antitrust authorities, the transaction was closed on 1 August 2024. ESCHE had already advised Hempel in 2018 on the legal aspects of the acquisition of J.W. Ostendorf and now advised Hempel in the sale process, together with its French cooperation firm Lerins (led by Laurent Segal).
The ESCHE team advising Hempel in this transaction was led by partner Dr. Stephan Bauer and associate Dr. Lukas Eßers and included the partners Dr. Philipp Engelhoven (Merger Control), Jan Kind (Finance), associated partner Stefan Gatz (HR) as well as the associates Alexander Schrep, Felix Oltmanns (both Corporate/M&A), Laura Iser (HR) and Dr. Peter Schunck (Real Estate).
