ESCHE advises The Social Chain AG in the acquisition of Carl Wilhelm Clasen GmbH

THE SOCIAL CHAIN AG (WKN: A1YC99) has acquired all shares in Carl Wilhelm Clasen Gesellschaft mit beschränkter Haftung (Clasen Bio). ESCHE advised THE SOCIAL CHAIN AG in the acquisition.

Esche Schümann Commichau has advised The Social Chain AG, a company listed in the free market segment of Düsseldorf Stock Echange, in the acquisition of all shares in Carl Wilhelm Clasen Gesellschaft mit beschränkter Haftung. The Social Chain AG is understood as the first integrated social media company combining social media and social commerce in one company in order to develop and market brands in the interplay between social media and social commerce.

Carl Wilhelm Clasen Gesellschaft mit beschränkter Haftung with its subsidiary LGR Nuss & Trockenfrucht Veredelungs GmbH & Co KG is a leading trading company for nuts and dried fruits and sells them inter alia under its own brand Clasen Bio. Clasen Bio will be grouped at Social Chain together with the other food brands of the group under the new holding Food Chain GmbH, a 100% subsidiary of The Social Chain AG. In the last full financial year, Carl Wilhelm Clasen GmbH posted revenues of approx. EUR 50 Mio. Since December 2019 Clasen Bio is Demeter-certified and currently offers 15 different products with Demeter certification.

The transaction was closed on 15 December 2020. The current managing directors Thomas Bönsch and Martin Schult remain as managing directors and will support the further growth of Clasen Bio and the food segment of The Social Chain AG.

ESCHE advised The Social Chain AG in the legal due diligence and the contracts for the acquisition. M&A-Partner Dr. Stephan Bauer acted as lead partner with its team consisting of Dr. Patrizia Chwalisz (Partner, HR), Dr. Jan-Boris Ingerowski (Associated Partner, Public Law) and associates Lara Bos, Hendrik Greinert and Ariane Tesdorpf (all Corporate, Commercial) as well as Yannick Maaß (HR). The in-house team at The Social Chain AG was led by General Counsel Dr. Stefan Eisele.
