Insolvency administrator Marc André Borchert sells business operations of Bionic Production GmbH

The two divisions of Bionic Production GmbH, "Mobile Smart Factory" and "Bionic Manufacturing", were successfully transferred to Rheinmetall and Autoflug as part of an asset deal.

Bionic Production is active in innovative 3D printing using bionic engineering for various industries. Its customers include established brands from the defence, automotive, railway, aerospace and maritime industries. The company acts as a full-service partner from digital planning to printing the desired products. Utilising the innovative possibilities of additive manufacturing and bionic research, the Lüneburg-based company manufactures complex components from plastic and metal alloys. The company is characterised in particular by its unique solutions for decentralised production, with which it offers a disruptive approach to supply chains.

In October 2022, the company's management, together with the legal advisors supporting them, lawyers Jan Kind and Marc Heinrich from the law firm Esche Schümann Commichau, filed an application to open insolvency proceedings. The Local Court of Lüneburg initially appointed the experienced restructuring expert Marc-André Borchert from the law firm SBL as provisional insolvency administrator and, upon the opening of insolvency proceedings on 1 February 2023, as insolvency administrator. At the same time, Saxenhammer was commissioned to carry out a structured investor process. Both business divisions can now be developed independently, which means that relevant technological expertise will remain in Germany.

The decision to file for insolvency proceedings had become necessary after postponed orders from customers and delays in the supply chains hampered production and ultimately impaired the company's liquidity.

An international investor process was conducted by the Saxenhammer team led by Martin J. Neumann. Fortunately, two excellent strategic investors were found. Rheinmetall acquired the "Mobile Smart Factory" division and Autoflug GmbH the bionic manufacturing division. It was also possible to retain the jobs of the vast majority of employees.

Esche Schümann Commichau advised the insolvency administrator on the transaction. Jan Kind (insolvency law / M&A) and Dr Götz Triebel (corporate / M&A) acted as joint lead counsel. Dr Patricia Chwalisz (labour law) and Marc Heinrich (insolvency law) were also involved.

Saxenhammer acted as M&A advisor on the transaction. Martin J. Neumann (Managing Director) was in charge of the transaction. Christoph Lier (Senior Associate) was also involved.
