Esche Schümann Commichau provided legal advice to the shareholders of cleverlohn GmbH (‘cleverlohn’) on the sale to Integral Services GmbH (‘Integral’).

cleverlohn is a leading digital provider of payroll accounting and HR solutions for small and medium-sized enterprises in Germany. Founded by Darleen Warda and Ole Wohltmann, the company ensures compliance with complex German labour and tax regulations and enables companies to achieve efficiency gains in payroll accounting. Integral is a provider of digital tax services for small and medium-sized enterprises founded in 2024. With its own digital platform and collaboration with partner tax advisors, it simplifies accounting and tax processes and makes them more efficient.

By combining Integral's AI capabilities with cleverlohn's expertise in payroll accounting, SMEs and partners of Integral and cleverlohn gain access to a unified solution for accounting, taxes and payroll accounting. cleverlohn will continue to operate as a separate brand.

The ESCHE team was jointly led by M&A partners Dr Stephan Bauer and Lara Bos and included partners Dr Christian Hoppe (employment law) and Thomas Schäffer (tax) as well as associates Felix Oltmanns and Alexander Schrep (both M&A) and Marie-Louis Georgi and Serena Behrens (both tax).
